While I was teaching a Graduate Business School course in new venture creation at
the University of Kansas, I began a research project to determine the best way to
invest in a private company. The purpose of the research was not to determine how
to rate the risk of the investment, but to determine which financial tools, such as,
debt, equity, convertible debt or other hybrids would be the best instruments to
minimize risk. This guide is the result of that research.

One of my brightest graduate students, Lee Walters, helped me with this research.
Mr. Walters completed his MBA and now works in the financial industry. I have made
some modifications to the original research, but the core concepts remain the same.
Much of the research was based on an analysis of the techniques used by
professional venture capitalists.

The guide reviews the language and phrases used in investment contracts that are
suitable under different conditions of company failure or success.
